1. Who you are contracting with
Ledgerline is operated by Cliford Surprisse ("we", "us", "the seller"). By creating an account or continuing to use Ledgerline, you agree to these Terms & Conditions and enter into a contract with Cliford Surprisse. If you use Ledgerline on behalf of a business, you confirm you have the authority to bind that business; if you use it as an individual, you confirm you are of legal age in your jurisdiction.
2. The service
Ledgerline is a bookkeeping workspace for small businesses: a single journal behind every page, bank-feed categorization, cash-flow reporting and forecasting, payroll planning, and tax tracking. We grant you a limited, non-exclusive, non-transferable right to use the service within the package you select. We do not guarantee uninterrupted or error-free performance, and Ledgerline is not a substitute for advice from a qualified accountant or tax professional.
3. Payments, subscriptions, and our reseller Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Subscriptions are billed monthly. Each package starts with a 14-day free trial: you enter a card at checkout and are charged only when the trial ends; cancel before day 14 and you pay nothing. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. You may cancel at any time and keep access until the end of the month you paid for.
4. Acceptable use
You must not misuse the service. That includes, without limitation:
- using Ledgerline for anything unlawful, fraudulent, or deceptive;
- sending spam or infringing anyone's intellectual property;
- introducing malware, probing or scanning our systems, or scraping the service;
- reverse engineering, reselling, or redistributing the service, or circumventing technical limits.
5. Your account and your data
You are responsible for keeping your account credentials confidential and for all activity under your account, and for providing accurate information and keeping it up to date. You retain ownership of the financial data you enter. You grant us a limited license to host and process that data solely to provide the service to you. Bank connections require your own authorization; we never invent figures on your behalf.
6. Intellectual property
We retain all ownership of the service and its intellectual property, including the software, documentation, and Ledgerline branding. These terms do not transfer any of it to you.
7. Warranties and liability
The service is provided "as is". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages — including loss of profits, data, or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these terms limits liability for fraud, death, or personal injury where the law does not allow it.
8. Suspension and termination
We may suspend or terminate your access for a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. When your access ends, your data is handled as described in our Privacy Notice; you may request an export of your records before deletion by contacting us.
9. General
You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. We are not responsible for delays caused by events beyond our reasonable control. These terms are governed by the laws of the State of New York, and disputes will be resolved in its courts. If any part of these terms is unenforceable, the rest remains in effect.
